1. Definitions

- "You," "Your," "Client" refers to the individual or business entity engaging our services
- "Services" refers to environmental compliance advisory services described on our website

- "Agreement" refers to these Terms & Conditions and any service-specific engagement letter
2. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you must not use our website or services.
You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services. If engaging our services on behalf of a business entity, you represent that you have authority to bind that entity to these terms.
3. Services Description
Verdaxis provides environmental regulatory compliance advisory services in Thailand, including:
- Environmental Impact Assessment (EIA) support and coordination
- Pollution control and waste management compliance advisory
- Environmental permit and license management services
Our services are advisory in nature. We provide guidance and coordination support based on current Thai environmental regulations. We do not provide legal representation or make decisions on behalf of regulatory authorities.
Service scope, deliverables, timeline, and fees for specific engagements will be outlined in a separate engagement letter or service agreement.
4. User Responsibilities
4.1 Information Accuracy
You agree to provide accurate, current, and complete information when using our services or website. You must notify us promptly of any changes to information provided, including contact details and facility operational data.
4.2 Cooperation
You agree to cooperate with us in good faith, provide timely access to necessary information and documentation, and respond to our requests for clarification or additional data needed to complete advisory services.
4.3 Compliance Implementation
You remain responsible for implementing compliance measures and maintaining environmental standards at your facilities. Our advisory services provide guidance, but ultimate compliance responsibility rests with you as the facility operator.
4.4 Prohibited Uses
You agree not to:
- Use our services for unlawful purposes or to violate any regulations
- Provide false or misleading information
- Interfere with website operation or security
- Attempt to gain unauthorized access to our systems
- Reproduce or redistribute our proprietary materials without permission
5. Intellectual Property
5.1 Our Rights
All content on our website, including text, graphics, logos, methodology documents, and software, is owned by Verdaxis and protected by Thai and international intellectual property laws. You may not reproduce, modify, or distribute our materials without written permission.
5.2 Limited License
We grant you a limited, non-exclusive, non-transferable license to access our website for informational purposes and to use deliverables from our services for your internal compliance purposes only.
5.3 Client Information
You retain ownership of operational data and facility information you provide. By engaging our services, you grant us a license to use this information solely for providing advisory services and preparing required documentation.
6. Payment Terms
6.1 Fees and Pricing
Service fees are specified on our website or in engagement letters. Pricing is in Thai Baht (฿) unless otherwise stated. Fees are subject to change, but changes will not affect active engagements with agreed pricing.
6.2 Payment Schedule
Payment terms will be specified in your service agreement. Typical arrangements include:
- Project-based services: Milestone payments or upfront deposit with balance on completion
- Ongoing permit management: Monthly retainer billed in advance
6.3 Late Payment
Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by Thai law, whichever is less. We reserve the right to suspend services for accounts more than 30 days overdue.
6.4 Refund Policy
Refunds for services already performed are not provided. For services not yet rendered, refunds may be considered on a case-by-case basis, minus any documented costs incurred. Ongoing retainer services may be cancelled with 30 days written notice.
7. Confidentiality
We maintain strict confidentiality regarding client operational information and compliance status. Information shared during engagements will not be disclosed to third parties except:
- As necessary for regulatory submissions to Thai environmental agencies
- When required by law or court order
- With your explicit written consent
- To service providers bound by confidentiality obligations

8. Disclaimers
8.1 Advisory Nature of Services
Our services are advisory only. We provide guidance based on current Thai environmental regulations, but we cannot guarantee specific regulatory outcomes or approval decisions by government agencies.
8.2 No Legal Services
We are not a law firm and do not provide legal advice or representation. For legal matters, you should consult with a qualified attorney licensed in Thailand.
8.3 Regulatory Changes
Environmental regulations may change during service engagements. While we monitor regulatory developments, we are not liable for impacts of legislative changes occurring after services are performed.
8.4 Website Availability
Our website is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access or error-free operation. We reserve the right to modify or discontinue website features without notice.
9. Limitation of Liability
To the maximum extent permitted by Thai law:
- Our total liability for any claim arising from services provided shall not exceed the fees paid for the specific engagement giving rise to the claim
- We are not liable for indirect, consequential, incidental, or punitive damages
- We are not liable for damages resulting from regulatory decisions, enforcement actions, or changes in environmental law
- We are not liable for losses caused by your failure to implement recommended compliance measures
This limitation applies regardless of the legal theory (contract, negligence, or otherwise) on which the claim is based.
10. Indemnification
You agree to indemnify and hold harmless Verdaxis, its employees, and consultants from claims, damages, or expenses arising from:
- Your violation of these Terms & Conditions
- Your violation of Thai environmental laws or regulations
- False or misleading information you provide
- Your failure to implement recommended compliance measures
- Unauthorized use of our intellectual property
11. Term and Termination
11.1 Service Engagements
Project-based engagements continue until completion or termination as specified in the service agreement. Ongoing retainer services continue on a month-to-month basis unless terminated by either party with 30 days written notice.
11.2 Termination Rights
We may terminate services immediately if you:
- Fail to pay fees when due
- Provide false information material to the engagement
- Violate these Terms & Conditions
- Engage in conduct that creates legal or ethical conflicts
11.3 Effect of Termination
Upon termination, you remain obligated to pay for services rendered through the termination date. We will provide work product completed up to termination. Confidentiality obligations survive termination.
12. Dispute Resolution
12.1 Governing Law
These Terms & Conditions are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts in Nonthaburi Province, Thailand.
12.2 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt good faith resolution through direct negotiation. Contact [email protected] to initiate dispute resolution discussions.
12.3 Mediation
If informal resolution fails, disputes may be referred to mediation under the rules of the Thai Arbitration Institute before pursuing litigation.
13. General Provisions
13.1 Entire Agreement
These Terms & Conditions, together with any service-specific engagement letter and our Privacy Policy, constitute the entire agreement between you and Verdaxis regarding use of our services and website.
13.2 Severability
If any provision of these terms is found to be unenforceable, the remaining provisions remain in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
13.4 Assignment
You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor entity.
13.5 Notices
All formal notices shall be sent to the addresses specified in engagement letters or to [email protected] for matters relating to these Terms & Conditions.
14. Changes to Terms
We reserve the right to modify these Terms & Conditions at any time. Changes will be effective when posted on our website with an updated "Last Updated" date. Material changes affecting active engagements will be communicated directly to affected clients.
Continued use of our services after changes constitutes acceptance of modified terms.
